1. Acceptance of Terms
By accessing and using the Netalyx website and services (collectively, the "Services"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Services.
Netalyx S.r.l. ("Netalyx", "we", "us", or "our") reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated review date. Continued use of the Services constitutes acceptance of modified Terms.
2. Description of Services
Netalyx provides network engineering consultancy, infrastructure design and deployment, managed network operations, training courses, and related professional services. Our Services include but are not limited to:
- Network architecture design and implementation (LAN, WAN, SD-WAN, MPLS, data centre fabrics)
- Security assessments and Zero Trust architecture consulting
- Cloud infrastructure design and multi-cloud networking
- Managed network operations and monitoring
- Professional training and certification preparation courses
- Network hardware and equipment sales
3. User Accounts and Registration
Certain features of the Services require registration. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your registration information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised use of your account
4. Intellectual Property
All content on the Services — including text, graphics, logos, images, course materials, software, and documentation — is the property of Netalyx or its licensors and is protected by Italian and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content without prior written consent from Netalyx.
5. Service Agreements and Consulting Engagements
Professional services, consulting engagements, and managed services are governed by separate Statements of Work (SOW) or service-level agreements (SLA) executed between Netalyx and the client. In the event of a conflict between these Terms and a signed SOW or SLA, the SOW or SLA shall prevail.
6. Online Courses and Training
Access to paid courses is granted upon receipt of payment. Course content is licensed for personal, non-commercial use only. Sharing, redistribution, or recording of course materials is strictly prohibited. Netalyx reserves the right to revoke access for violations of this policy.
7. E-Commerce and Product Sales
Product purchases through our online shop are subject to availability. Prices are listed in EUR and are exclusive of VAT unless otherwise stated. We reserve the right to modify prices without prior notice. Orders are confirmed only upon receipt of payment and shipment confirmation.
Returns and warranty claims are handled in accordance with Italian consumer protection law (Codice del Consumo, D.Lgs. 206/2005) and applicable EU directives.
8. Limitation of Liability
To the maximum extent permitted by Italian law, Netalyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services. Our total liability shall not exceed the amount paid by you, if any, for accessing the Services during the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Netalyx, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
11. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
